6. Intellectual Property Rights

Our Property: All content, features, and functionality on this website, including text, graphics, logos, icons, images, software, and code, are the exclusive property of Astrazen or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Property: You retain ownership of your pre-existing intellectual property. However, by providing materials to us, you grant us a license to use such materials solely for the purpose of delivering our services.

Work Product: Ownership of deliverables created during projects will be as specified in individual project agreements. Unless otherwise agreed, we retain ownership of our methodologies, tools, and reusable components.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of service delivery. Confidential information includes business plans, technical data, customer lists, trade secrets, and other sensitive information marked as confidential. This obligation survives termination of these Terms.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRAZEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Astrazen from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Either party may terminate a service engagement upon written notice as specified in the applicable project agreement. Upon termination, you must pay all outstanding fees, and we will provide reasonable assistance in transitioning to another provider.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
